Question 1: Do you offer success only options?

Success-only sounds great in theory, but deals are like dating - sometimes it just doesn't work out for reasons nobody saw coming! 😂 We prefer to focus on doing amazing work and getting fairly compensated, but we're totally cool with spreading payments out to help your cash flow.

Question 2: What is BizDealRoom and what services do you provide?

BizDealRoom is Australia's leading platform for business sales, capital raising, and investment opportunities. We provide marketing consulting services to help business owners advertise their businesses for sale, secure capital for growth, and connect with investors. Our services include advertising, promotional activities, lead generation, and general business consulting support.

Question 3: What's the difference between BizDealRoom.com and invest.bizdealroom.com?

BizDealRoom.com is our main platform for business listings, sales, and capital raising opportunities. Invest.bizdealroom.com is our investor-focused portal where wholesale and sophisticated investors can access exclusive investment opportunities and business partnerships.

Question 4: Are you a real estate agent or business broker?

Yes, we are officially a licensed real estate and brokerage firm. However, since 2018, we've deliberately focused on helping private sellers navigate the complexities of selling their businesses. All of our listings are advertised on behalf of the seller as a private seller, not through traditional agency representation. Our focus is on deal preparation and facilitating national and international transactions while maintaining your status as the private seller/advertiser.

Question 5: What type of agreement am I signing?

You're signing a Marketing Consulting Agreement where we provide advertising, promotional, and lead generation services. This is not an agency agreement - you retain full control over all negotiations and decisions as the private seller.

Question 6: How long is the agreement period?

The standard agreement period is 6 months, automatically continuing month-to-month unless terminated by either party with 30 days written notice.

Question 7: What are your fees?

Our standard success fee is 6.6% (including GST) of any completed transaction, less any retainer paid. Where a retainer applies, you pay the higher of the retainer or the 6.6% success fee.

The good thing about our retainer and success fee structure is that your first investment should cover the majority of our fees. For example, let's say we help you secure $100,000 in month 1 or even month 2 - then in most circumstances we've covered our costs many times over. For cashflow purposes, if we help you secure $100,000 in a month, you'd pay the 6.6% success fee ($6,600) which is higher than the retainer, so essentially the retainer becomes zero for that month - you only pay the success fee.

Question 8: When do I pay the success fee?

The success fee is payable immediately upon completion of any transaction, or in certain circumstances even if the transaction doesn't complete (such as mutual termination or default by either party).

Question 9: What marketing services do you provide?

Our services include:

Advertising and promotional activities

Marketing material preparation and distribution

Lead generation and initial inquiry management

General business consulting and advisory services

Market analysis and transaction structuring guidance

Administrative support as specified in your agreement

Question 10: Do you negotiate on my behalf?

No, we don't negotiate on your behalf - and here's why that's better for you. Running one of Australia's largest brokerages has taught us that buyers and investors actually prefer dealing directly with business owners rather than through intermediaries. Traditional brokerage (which we could provide at 8-10% commission) often slows deals down and creates communication barriers. Our consulting approach gives you the best of both worlds: professional deal preparation, secure data rooms, sophisticated digital offer systems, and direct buyer contact - all while you retain complete control over negotiations and save on commission costs. The result? Faster transactions, better relationships, and higher success rates.

Question 11: Do I need independent advice?

Yes, we absolutely require you to seek independent legal, financial, and taxation advice before accepting any investment, selling, or issuing shares. This is not optional - it's a fundamental requirement of working with us. Your advisors must be ready to handle all transaction documentation including issuing share certificates, accepting deposits, preparing partnership agreements, and managing all legal and financial aspects of your transaction. We will not proceed without confirmation that you have appropriate professional advisors in place who understand your specific situation and transaction requirements.

Question 12: How can I terminate the agreement?

Either party can terminate with 30 days written notice after the initial 6-month period. However, if you need to terminate prior to the initial 6-month term, just let us know and we'll accommodate this request. All we ask is that your invoices are settled and you honour the ongoing obligation to remit any success fees as per the agreement for any parties who respond to our marketing efforts during the agreement period (this obligation continues for up to 12 months after termination as specified in the agreement).

Question 13: What if someone contacts me after the agreement ends?

Our success fee may still apply for up to 12 months after agreement expiration if the party was contacted through our marketing efforts during the agreement period.

Question 14: How do you handle my personal information?

We collect and store personal information in accordance with the Privacy Act 1988 (Cth). Information is stored securely at our premises or with authorised service providers. You can review or correct your personal information by contacting us.
